SECTION THREE:

 

GENERAL MEETINGS OF THE GUILD

 

3.1          ROLE

 

3.1.1       There shall be an Annual General Meeting of the Guild, which shall normally be held in the third term of the academic year.

 

3.1.2       General Meetings of the Guild may be called to discuss any matter deemed       significant by the summoning authority.

 

3.2          MEMBERSHIP

 

3.2.1       All full and part-time members of the Guild shall be entitled to attend and exercise a vote at General  Meetings, in accordance with sections 2 and 3 of the Constitution (Document B)

 

3.2.2       Associate Members and Honorary Life Members shall be entitled to attend General Meetings in the capacity of observers without the right to vote, in accordance with Sections 5 and 6 of the Constitution (Document B).

 

3.2.3       Attendance and speaking rights for all non-members wishing to attend must be proposed by a full  member of the Guild and agreed by a majority of those present and voting.

 

3.3          AUTHORITY

 

3.3.1       The Annual General Meeting of the Guild will have the following authority:

 

                a)            Receive the Audited Accounts

                b)            Be the Bar Club Annual General Meeting

                c)             Have the authority of a General Meeting (section 3.3.2)

 

3.3.2       In accordance with Section 17 of the Constitution (Document B):

 

a)            General Meetings may express the views of those members present and voting.  All such resolutions shall be presented to the next meeting of Guild Council to be noted.

                b)            Guild Council may not recommend changes in the Constitution to Student Affairs Committee until a General Meeting has had the opportunity to debate them.

c)             Any decision taken by Guild Council or Guild representatives may be referred back for further discussion by a General Meeting if 200 members vote in favour of doing so.  A decision so referred shall normally be presented to the next Ordinary Meeting of Guild Council for resolution.  If the referred decision was originally taken by Guild Council, then Guild Council shall still discuss and vote on the issue again.

                d)            A General Meeting may pass a motion of "No Confidence" in any member of Guild Council.

e)            Any changes to the size or boundaries of constituencies for Guild elections shall be determined by a simple majority of those present and voting at a General Meeting. Such changes must first have been approved by Guild Council.

 

3.4          QUORUM

 

3.4.1       The Quorum of the General Meeting is laid out in Section 16 of the constitution (Document B).

 

3.4.2       75 members shall be regarded as an Advisory Quorum for General Meetings.

 

3.4.3       If a General Meeting fails to reach Quorum but reaches the Advisory Quorum then motions shall be discussed.  The advice taken will then be passed on to Guild Council who shall consider the motions at their next meeting.

 

3.4.4       If the Advisory Quorum is not reached then the motions shall be discussed at the discretion of the Chair.

 

3.5          ATTENDANCE

 

3.5.1       Any members of Guild Council, excepting members of Executive, who fail to attend a General Meeting without submitting a written apology to the Guild Chairperson with an adequate reason, shall be deemed to have resigned from Guild Council.

 

3.5.2       Any member of Executive who fails to attend a General Meeting without submitting a written apology to the Guild Chairperson with an adequate reason, shall have a motion of censure proposed against them on behalf of Steering Committee at the next Council.  It shall be the Guild Chairperson's job to inform Steering Committee of any such action.

 

3.6          GENERAL MEETINGS

 

3.6.1       Steering Committee shall arrange a General Meeting if requested to do so by Guild Council or the Executive Committee of Guild Council or the President or by written request from 200 full members of the Guild.

 

3.6.2       Steering Committee can only independently call a General Meeting to discuss   motions "in line with 3.7.4 (f)"

 

3.6.3       All requests for General Meetings shall be handed to the Vice President (Student Involvement) who shall take it to the next meeting of Steering Committee.  If Steering Committee does not call a requested meeting within 10 days of receiving the request, or if the Vice President (Student Involvement)  does not bring the request to Steering Committee, then any 40 members may immediately call a meeting.

 

3.6.4       Steering Committee shall determine the order in which motions shall be discussed.

 

3.6.5       The notice and agenda of a General Meeting shall be posted on the Guild notice board at least seven days before the scheduled date of the meeting.

 

3.6.6       If a member of Guild Council is censured at three separate General Meetings or Guild Councils then any full member of the Guild may instruct Steering Committee to call a General Meeting for the purpose of proposing a No Confidence in that member of Guild Council.

 

3.7          MOTIONS

 

3.7.1       All motions shall be signed by the proposer and submitted to the Vice President (Student Involvement) at least 8 days before the date of the meeting.

 

3.7.2       Once all motions have been submitted, they will be considered for validity by Steering Committee and shall be posted on the official Guild notice board at least 48 hours before the meeting.

 

3.7.3       The order of motions shall be determined by Steering Committee, who shall order motions as follows:

 

                1)            Motions from Guild Council, including Constitutional changes

                2)            Guild Business

                3)            Other issues directly affecting students

                4)            Local issues

                5)            National issues

                6)            International issues

 

3.7.4       Motions put to any General Meeting shall either:

 

                a)            Propose that the Constitution be changed.

                b)            Propose that the boundary for a given election be changed.

                c)             Propose a motion of No Confidence in a member of Guild Council.

                d)            Propose a motion of censure in a member of Guild Council.

e)            Refer back a decision by Guild Council, of its committees or one of its   officers, to the next meeting of Guild Council.

f)             Express the views of the proposer on a given subject in the form of "this General Meeting notes, this General Meeting believes, this General Meeting resolves, this General Meeting instructs ..."

 

3.7.5       Amendments to motions should be submitted to the Vice President (Student Involvement) by 12 noon on the day before the General Meeting and must be distributed at the meeting in writing.

 

3.8          ACCOUNTABILITY OF REPRESENTATIVES

 

3.8.1       If, during the term of office  of any Guild Councillor, (s)he has a motion of no confidence passed against him/her, then the post held by that person shall be deemed immediately vacant and shall be filled in accordance with the regulations governing elections.

 

3.8.2       Any Guild Councillor who holds their position by virtue of being a member of a University Committee or by being Chairperson of a University Resident Association must be removed from that University Committee or Residents Association Chairship to be removed from Guild Council.

 

3.8.3       If a motion of No Confidence is passed in the Guild Council as a whole then every Councillor, with the exception of those who hold their position by virtue of being a member of a university committee or by being Chairperson of a University Residents Association, will be deemed to have resigned.

 

3.6.7       This having occurred, a working party, consisting of the former President, together with those Guild Councillors still in office shall organise immediate elections for all Guild Council positions, together with all sabbatical and non-sabbatical executive posts.

 

3.8.4       Until such a time as a new President is elected, the former President shall remain Guild signatory and retain day to day administrative control of the Guild.  S/he shall not make any long term policy decisions nor allow the Guild to enter into any contracts before the new Guild Council is in place.

 

3.8.6       Upon appointment of a new Guild Council and Executive, a report will be submitted by the former President on any actions s/he took whilst elections were being organised and Guild Council will review such actions.  The former President will relinquish all powers/authority 'to the new President' the moment the elections are completed.
